– BASIS OF PRESENTATION

The accompanying
condensed consolidated financial statements have been prepared
pursuant to the rules and regulations of the Securities and
Exchange Commission. Certain information and footnote disclosures
normally included in annual consolidated financial statements
prepared in accordance with generally accepted accounting
principles have been condensed or omitted pursuant to such rules
and regulations. However, the Company believes the disclosures
included in the accompanying condensed consolidated financial
statements are adequate to make the information presented not
misleading. In our opinion, all adjustments necessary for a fair
presentation for the periods presented have been reflected and are
of a normal recurring nature. These condensed consolidated
financial statements should be read in conjunction with the
Stericycle, Inc. and Subsidiaries Consolidated Financial Statements
and notes thereto for the year ended December 31, 2010, as
filed with our Annual Report on Form 10-K for the year ended
December 31, 2010. The results of operations for the three
months ended March 31, 2011 are not necessarily indicative of
the results that may be achieved for the entire year ending
December 31, 2011.

There were no
material changes in the Company’s critical accounting
policies since the filing of its 2010 Form 10-K. As discussed in
the 2010 Form 10-K, the preparation of the consolidated financial
statements in conformity with accounting principles generally
accepted in the United States requires management to make certain
estimates and assumptions that affect the amount of reported assets
and liabilities and disclosure of contingent assets and liabilities
at the date of the consolidated financial statements and revenues
and expenses during the periods reported. Actual results may differ
from those estimates.
